Merger Synergies Math

The deal deck's most-abused word, priced honestly: what synergies are worth, who captures them, and why the premium usually eats them first.

What decision this helps you make: How much extra a combination is really worth, and therefore the maximum premium a buyer can pay without donating the deal's value to the seller.

What this topic is

Synergies are the extra value two businesses create together that neither could alone: cost savings from combined operations, revenue from cross-selling, or financial gains. Synergy MATH is discounting those claims like any cash flows: probability-weighted, cost-of-achieving included, and compared against the premium being paid.

Why it matters

Acquirers justify premiums with synergies, and the documented record says those premiums routinely hand most or all of the synergy value to the SELLER before integration even starts. The math is the difference between buying value and buying a story.

Who should learn it

Anyone who buys, sells, approves, or models deals, from corporate development to an owner acquiring the competitor across town.

What you will understand

  • Split synergies by type, and by credibility
  • Discount claims: probability, timing, and the cost to achieve them
  • See why the premium is the synergy's first and hungriest claimant
  • Set a walk-away price that keeps some value for the buyer

Prerequisites

Common misconception

"Synergies justify the premium." Backwards: the premium CONSUMES the synergies. If combining creates $100M of value and you pay a $90M premium, you did 100% of the integration work to keep 10% of the prize. The seller banked the rest at closing, risk-free.
