What decision this helps you make: How to behave in the first ninety days after a credit is transferred to special assets, when almost every instinct a borrower has is the wrong one.

What this topic is

A workout group — variously called special assets, special situations, credit restructuring, or asset recovery — is the internal unit a bank moves a deteriorating loan into. The relationship officer who sold you the facility is removed from the file, and it is reassigned to someone whose job is recovering the bank's money rather than growing the relationship.

Why it matters

The transfer changes the physics of every conversation you will have with your lender, and most borrowers do not realise it has happened until they have already made two or three unrecoverable mistakes. The workout officer is not hostile and is not your enemy; they are simply optimising a different objective function, one you can learn and work with.

Who should learn it

Owners and CFOs of borrowers under stress, sponsors managing a portfolio company through a covenant breach, advisors running a restructuring, and credit professionals who want to see their own institution from the other side of the table.

What you will understand

  • What actually triggers a transfer to special assets, and what happens in the first two weeks
  • How the bank's own regulatory and accounting mechanics drive the officer's behaviour
  • The full menu of tools a workout officer holds, and the order they get used in
  • What a borrower can do that genuinely changes the outcome — and what only wastes credibility

Prerequisites

Common misconception

"The bank wants my collateral." Almost never. A bank is not an operator, a landlord, or an equipment dealer, and every asset it takes becomes a regulatory and reputational problem it has to carry, staff, and eventually sell at a discount. The workout officer's preferred outcome is nearly always that you refinance them out at par. What they want is certainty and information; foreclosure is what happens when they stop believing they can get either.
